Agreement to Terms
These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("Client," "you," or "your") and Theta Solutions ("Company," "we," "us," or "our"), a digital services business located in Massachusetts, United States.

Description of Services
Theta Solutions offers the following categories of services to local businesses:

- Search Engine Optimization (SEO) — On-page optimization, technical SEO, and content strategy
- Local SEO Services — Local search optimization including Google Business Profile management
- Online Review Funnel Systems — Automated review request campaigns and reputation management
- AI Chatbots and Business Automation — Automated workflows, chatbot setup, and lead response systems
- Digital Marketing and Advertising Management — Paid ad campaign management (Google Ads, Meta Ads, etc.)
- Consulting Services — Digital strategy consultation and business growth advisory
The specific services to be provided, their deliverables, timelines, and associated fees will be outlined in a written proposal, service agreement, or invoice provided to you before work commences. No services are guaranteed beyond what is explicitly stated in your agreement with us.
Website Design & Development
3.1 Project Scope
Website design and development projects are scoped in advance and documented in a written proposal or agreement. Our standard website projects begin at $500 and vary in price based on complexity, number of pages, custom features, and integrations required.
The agreed-upon scope defines what is included. Work that falls outside the documented scope — including additional pages, design revisions beyond the agreed revision rounds, custom integrations, or new features requested after project commencement — will be quoted and billed separately as additional work.
3.2 Revision Policy
Each project includes a defined number of design revision rounds as stated in the proposal. Revisions requested beyond the included rounds will be billed at our standard hourly rate, which will be disclosed to you before the additional work is performed.
3.3 Project Timeline
Estimated project timelines are provided in good faith but are contingent upon timely receipt of all required content, feedback, and approvals from the Client. Delays caused by the Client's failure to provide required materials or approvals may extend the project timeline, and Theta Solutions shall not be held liable for such delays.
3.4 Launch Approval
Before launching a website, we will present the completed site for the Client's review and written approval. By approving the site for launch (verbally, by email, or in writing), the Client confirms that the delivered website meets the agreed-upon requirements. Post-launch change requests will be handled as new or ongoing maintenance work.
3.5 Website Technology
We build websites using professional-grade platforms and technologies. We reserve the right to select the most appropriate technology stack for each project based on the Client's requirements. We will disclose the platforms used and ensure the Client has reasonable access to their website assets upon project completion or termination.
Client Responsibilities
The success of your project depends on your active participation. By engaging our services, you agree to the following responsibilities:
4.1 Content and Materials
You are responsible for providing all content, text, images, logos, branding materials, and business information required for your website or marketing campaigns unless content creation has been explicitly included in your service agreement and priced accordingly.
- All content must be provided in a timely manner as outlined in your project timeline
- Content provided must be accurate, current, and legally owned or licensed by you
- Images and media must be provided in sufficient resolution for professional web use
- If stock photography is required and not included in your agreement, associated licensing costs are the Client's responsibility
4.2 Accuracy of Information
You are solely responsible for the accuracy, completeness, and legality of all information and content you provide to us. Theta Solutions is not responsible for errors, omissions, or legal issues arising from content supplied by the Client, including but not limited to false claims, copyright infringement, or violations of consumer protection law.
4.3 Access and Credentials
Where required, you agree to provide timely access to necessary accounts, platforms, or credentials (such as your domain registrar, existing hosting, Google account, or ad accounts) to facilitate the delivery of services.
4.4 Communication and Feedback
Timely communication is essential to project success. You agree to respond to requests for feedback, approvals, and materials within a reasonable timeframe. Delays in communication that impact project delivery are the Client's responsibility.
4.5 Legal Compliance
You represent and warrant that your business operates legally and that all content, products, and services you offer comply with applicable federal, state, and local laws. You agree not to use Theta Solutions' services to promote illegal activities, deceptive marketing practices, or content that violates the rights of third parties.
Hosting & Maintenance
5.1 Monthly Plans
Theta Solutions offers monthly website hosting and maintenance plans billed on a recurring basis through Stripe. These plans may include website hosting management, security monitoring, software updates, uptime monitoring, and a defined number of content update hours per month, as specified in your plan details.
5.2 Uptime and Availability
We strive to maintain reliable hosting environments and will take reasonable steps to address outages promptly. However, we do not guarantee 100% uptime. Website availability may be affected by factors outside our direct control, including third-party hosting provider outages, scheduled maintenance windows, cyberattacks, internet infrastructure issues, or force majeure events.
5.3 Maintenance Limitations
Monthly maintenance plans cover routine updates and minor content changes within the included hours. Major redesigns, new feature development, or structural changes to the website fall outside the scope of a maintenance plan and will be quoted separately.
5.4 Backups
While we make reasonable efforts to maintain backups where included in your plan, you are ultimately responsible for maintaining independent backups of your website content and data. Theta Solutions shall not be liable for data loss arising from hardware failure, accidental deletion, hacking, or hosting provider incidents.
SEO Services
6.1 No Ranking Guarantee
While we employ industry-standard, ethical (white-hat) SEO practices designed to improve your website's visibility over time, organic search rankings are influenced by many factors including, but not limited to:
- Search engine algorithm updates and core changes
- Competitor activity and SEO investments in your local market
- The age, authority, and history of your domain
- The quality, quantity, and relevance of backlinks
- Website technical performance and user experience signals
- Geographic targeting and local ranking factors
- Search intent shifts and keyword landscape changes
6.2 Algorithm Changes
Search engines periodically release major algorithm updates that can affect rankings across industries, regardless of the quality of SEO work performed. Theta Solutions is not liable for ranking drops, traffic losses, or business impact resulting from search engine algorithm changes. We will make reasonable adjustments to our strategy in response to major algorithm updates.
6.3 Timeline for Results
SEO is a long-term strategy. Results typically take 3–6 months or longer to materialize, and timelines vary significantly based on industry competition, geographic market, and starting conditions. Committing to a minimum of 3–6 months of ongoing SEO work is strongly recommended to evaluate effectiveness.
6.4 Google Business Profile
Google Business Profile management is subject to Google's policies, terms, and platform changes. Theta Solutions cannot guarantee that Google will maintain, display, or verify your Business Profile listing. Suspension or removal of a Google Business Profile by Google is outside our control.
Digital Advertising Services
7.1 No Results Guarantee
7.2 Ad Spend
Advertising budgets (the funds spent directly on ads) are separate from our management fees and are paid directly to the advertising platform (e.g., Google, Meta) unless otherwise specified in writing. The Client is responsible for funding their advertising accounts.
7.3 Platform Policy Changes
Advertising platforms including Google Ads, Meta Ads, and others may change their policies, pricing, targeting capabilities, or ad formats at any time. Theta Solutions is not liable for the impact of platform policy changes, account suspensions by the platform, or advertising cost increases due to market conditions or platform decisions.
7.4 Account Ownership
Where advertising accounts are created on behalf of the Client, those accounts belong to the Client. We manage them on the Client's behalf during the engagement. Upon termination, we will provide access back to the Client.
AI Tools & Business Automation
8.1 AI Tool Limitations
AI chatbots, automated response systems, and similar tools built or configured by Theta Solutions are tools designed to assist — not replace — human judgment. We do not warrant that AI tools will be error-free, complete in their responses, or appropriate for all customer interactions.
The Client is responsible for monitoring AI tools deployed on their business platforms, ensuring responses remain accurate and appropriate, and updating content or configurations as the Client's business information changes.
8.2 Third-Party AI Platforms
AI tools may rely on third-party platforms and APIs (such as OpenAI, Google AI, or similar services). Changes, outages, pricing changes, or policy updates from these platforms may affect the functionality of AI tools. Theta Solutions is not liable for disruptions caused by changes to underlying third-party AI platforms.
8.3 Automation Systems
Business automation workflows (such as automated email sequences, CRM integrations, or lead routing) are built based on information and systems provided by the Client. The Client is responsible for ensuring their underlying business systems are operational and that automated communications comply with applicable law (including CAN-SPAM, TCPA, and other marketing regulations).
Payment Terms
9.1 Invoicing
Payment is due as specified in your project proposal or service agreement. Standard payment terms for website design projects are:
- 50% deposit due prior to commencement of work
- 50% final payment due upon project completion and prior to site launch
Alternative payment schedules may be arranged in writing. All quoted prices are in USD.
9.2 Late Payments
Payments not received by the due date may result in a pause or suspension of services until payment is received. Theta Solutions reserves the right to charge a late fee of 1.5% per month on overdue balances, or the maximum allowed by law, whichever is less.
9.3 Payment Method
We accept payment via credit card, debit card, and ACH bank transfer through our secure payment processor, Stripe. By providing payment information, you authorize Theta Solutions to charge the applicable amounts through Stripe in accordance with the agreed payment schedule.
9.4 Project Suspension
Theta Solutions reserves the right to suspend or withhold delivery of work — including withholding website launch, domain transfer, or access to deliverables — if outstanding invoices remain unpaid. Work will resume upon receipt of full outstanding payment.
Subscriptions & Recurring Billing
10.1 Monthly Plans
Many of our services — including website hosting and maintenance, monthly SEO, local SEO management, advertising management, review funnel systems, and ongoing automation maintenance — are offered on monthly subscription plans billed through Stripe.
10.2 Automatic Renewal
Subscription plans renew automatically on your billing date each month unless cancelled in advance. By subscribing, you authorize Stripe to automatically charge the payment method on file on each renewal date. You will receive a receipt or notification from Stripe upon each successful charge.
10.3 Price Changes
We reserve the right to adjust subscription pricing with a minimum of 30 days' written notice. If you do not agree to a price change, you may cancel your subscription before the price change takes effect.
10.4 Failed Payments
If a recurring payment fails, Stripe will attempt to retry the charge. Continued payment failures may result in suspension of services. You are responsible for ensuring your payment method remains valid and up to date.
Cancellations & Refunds
11.1 Cancellation of Monthly Subscriptions
You may cancel a monthly subscription plan at any time by providing written notice to us at [INSERT EMAIL]. Cancellations take effect at the end of the current billing period. You will not be charged for the following month after cancellation, but we do not provide prorated refunds for the remaining portion of the current billing period.
11.2 Cancellation of Website Projects
If you cancel a website design or development project after work has commenced:
- The initial deposit is non-refundable as it covers time already invested in planning, research, and design work
- If work beyond the deposit phase has been completed, you will be invoiced for the value of work completed to date, calculated at our standard rates
- Any work completed up to the cancellation date remains the property of Theta Solutions until all outstanding balances are paid in full
11.3 Refund Policy
Payments for completed deliverables, completed work phases, or subscription services already rendered are non-refundable. If you believe a charge was made in error, please contact us within 30 days at [INSERT EMAIL] and we will review your request.
11.4 Cancellation by Theta Solutions
Theta Solutions reserves the right to terminate a project or service agreement if:
- The Client fails to pay outstanding invoices after reasonable notice
- The Client requests work that violates applicable law or our policies
- The Client engages in abusive, threatening, or harassing conduct toward our team
- Circumstances arise that make continued performance of services impractical or impossible
In the event of termination by Theta Solutions for reasons other than Client breach, we will refund a prorated portion of any prepaid fees for services not yet rendered.
Intellectual Property
12.1 Client Ownership Upon Full Payment
Upon receipt of full payment for a completed website project, Theta Solutions assigns to the Client all rights, title, and interest in the custom visual design elements, written copy (if created by us), and unique graphical assets created specifically for the Client's project.
12.2 Third-Party Components
Websites may incorporate third-party components including licensed themes, plugins, frameworks, stock photography, fonts, or open-source libraries. These components remain subject to their respective licenses and are not transferred to the Client as proprietary assets. The Client assumes responsibility for ongoing license compliance after project handover.
12.3 Theta Solutions Portfolio Rights
Unless expressly prohibited in writing before project commencement, Theta Solutions reserves the right to display completed client websites and projects in our portfolio, case studies, and marketing materials. We will not disclose confidential business information in any public showcase without your written consent.
12.4 Work Product Prior to Full Payment
All work product, designs, code, and deliverables created by Theta Solutions remain the intellectual property of Theta Solutions until full payment has been received. You do not acquire any license or rights to use, reproduce, or distribute our work product until all outstanding balances are paid.
12.5 Client Materials
You retain full ownership of all content, images, logos, and materials you provide to us. By providing us with these materials, you grant Theta Solutions a limited license to use them solely for the purpose of delivering your contracted services.
Third-Party Services & Outages
Our services may depend upon, integrate with, or interact with third-party platforms, software, and services outside of Theta Solutions' control. You acknowledge and agree that:
- Hosting Provider Outages: Theta Solutions is not liable for website downtime, data loss, or performance degradation caused by third-party hosting infrastructure providers.
- Search Engine Algorithm Changes: Google, Bing, and other search engines may change their ranking algorithms at any time. Theta Solutions is not responsible for ranking changes, traffic loss, or business impact resulting from such changes.
- Advertising Platform Changes: Google Ads, Meta Ads, and other advertising platforms may modify their policies, targeting options, pricing, or services. Theta Solutions is not liable for the impact of such changes on advertising performance or campaign results.
- Google Business Profile: Google may suspend, remove, or modify your Business Profile listing at its discretion. Theta Solutions is not responsible for actions taken by Google regarding your listing.
- Third-Party Software and APIs: Plugins, themes, automation tools, AI platforms, CRM systems, and APIs used in your project are maintained by independent third parties. Theta Solutions is not responsible for bugs, security vulnerabilities, pricing changes, or discontinuation of these services.
- Payment Processor: Stripe processes all payments. Service interruptions or changes to Stripe's platform are outside our control.
We will make reasonable commercial efforts to address and mitigate the impact of third-party issues on your services, but we make no guarantees regarding continuity or performance of third-party platforms.
Limitation of Liability
14.1 Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THETA SOLUTIONS PROVIDES ALL SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.
14.2 Cap on Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THETA SOLUTIONS' TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO THETA SOLUTIONS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).
14.3 Exclusion of Consequential Damages
IN NO EVENT SHALL THETA SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF THETA SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification
You agree to defend, indemnify, and hold harmless Theta Solutions, its owners, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your breach of these Terms or any representations or warranties made herein
- Content, materials, or information you provide to us, including any claims of copyright infringement, defamation, or false advertising
- Your use or misuse of any website, system, or tool we deliver to you
- Your violation of any applicable law or regulation in the operation of your business
- Any third-party claims arising from your business's products, services, or marketing
Governing Law & Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.
16.2 Jurisdiction
Any dispute arising under or related to these Terms that proceeds to litigation shall be brought exclusively in the state or federal courts located in Massachusetts. You consent to personal jurisdiction in such courts and waive any objection to venue.
16.3 Informal Resolution

Theta Solutions reserves the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will make reasonable efforts to notify active clients via email at least 14 days before the changes take effect.
Your continued use of our services after updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must notify us in writing and cease using our services.
